Part 1: Terms of Business
1. Service Agreement
This Agreement applies to all Services (PPC, SEO, Web Development, Content, and Consultancy) provided by David Friend and/or Profitable Sites Ltd (collectively referred to as "the Agency") to "the Client." This Agreement is triggered by any order placed via email, invoice, or payment for services.
2. Terms & Rolling 30-Day Notice
- Rolling Basis: Services operate on a rolling 30-day basis starting from the first payment.
- Cancellation: To avoid the next month's invoice, written notice must be given at least 30 days prior to the next scheduled billing date.
- Final Month: If notice is given less than 30 days before the next bill, that final invoice remains payable in full. No pro-rata refunds.
- Handovers: Account access and final handovers are only completed once all outstanding invoices are paid in full.
3. Fees, Payments & Refunds
- Advance Payment: All fees are payable in advance.
- No Refunds: Once payment is made, there are strictly no refunds for any reason.
- Annual Increase: Fees increase by 5% every 12 months on the anniversary of your start date to cover rising software and operating costs.
- Late Payments: Invoices are due within 3 days. We reserve the right to suspend all services if an invoice is 7 days overdue.
- Extra Work: Any work outside the originally agreed scope is billed at £150 per hour.
4. Client Responsibilities & Security
- Access: The Client must provide all necessary logins (Website, Google Ads, GA4, GMC).
- Backups: For web/Shopify work, the Client is solely responsible for daily backups. The Agency is not liable for data loss.
- Malware & Security: We are not responsible for hacking or security breaches. Maintenance services are "reasonable endeavours" and do not guarantee 100% security.
- Compliance: The Client must ensure their business follows Google Ads Policies. We are not liable for account suspensions caused by Client policy breaches.
5. PPC & Google Ads Power Clauses
- Ad Spend: The Client pays Google (or other platforms) directly.
- Payee Liability: If the Agency is billed for the Client's ad spend, the Client must reimburse the Agency immediately plus a 10% admin fee.
- Lock-out: The Agency reserves the right to revoke access to Google Ads, GA4, and GMC if any fees (Management or Ad Spend) are unpaid.
6. Liability & Legal
- Liability Cap: Our total legal liability is limited to the total Management Fees paid to us during the 3 months preceding a claim.
- No Indirect Loss: We are not liable for "lost profits," "lost sales," or third-party platform downtime (e.g., Shopify or Google glitches).
- Indemnity: The Client is responsible for ensuring they own the rights to all images and text provided to the Agency.
- Disputes: We agree to try and settle any arguments through honest, good-faith negotiation before involving lawyers.
- Jurisdiction: This agreement is governed by the laws of England and Wales.

You may link to our home page provided you do so in a way that is fair and legal and does not damage our reputation. You must not establish a link in such a way as to suggest any form of association or endorsement where none exists.

Part 4: Google Ads New Advertiser Credit
1. Overview
The free Google Ads credit referenced on our pages is provided through Google's New Advertiser Offer, available to David Friend and Profitable Sites Ltd as a Google Partner.
2. Eligibility
- Available only to brand new Google Ads accounts with no prior advertising history.
- Must be applied within 20 days of account creation.
- One offer per account.
3. Match Values
The credit value is tiered based on spend within the first 60 days of redemption. Offers are administered by Google in USD; UK accounts receive local-currency equivalents at the prevailing rate when applied.

4. How It's Applied
Once an eligible account is created and a qualifying promotion is selected within the 20-day window, the credit is allocated against future spend. The monthly credit budget is calculated on the first day of each month based on spend over the previous 90 days.
